AGENT shall actively promote and expand the sales of PrettyPet products in the said region and ensure
the provision of after-sale service for customers. |

AGENT shall guarantee that all operating activities are in compliance with the local Government laws, regulations and administrative rules. AGENT shall be liable for any legal obligations of any damage to the OWNER incurred by the AGENT in breach of the foresaid regulations and compensate the OWNER for any economic loss so caused to the AGENT. |

During the term of the agreement, the AGENT shall keep all business communications and designs information’s with the OWNER in strict confidentiality or otherwise be liable for its due obligations. |

In the event of any troubles, disputes or economic losses caused by any business activities between AGENT and the CUSTOMER other than the OWNER, the AGENT solely shall be liable for such disputes or losses and the OWNER shall have no responsibility or risk therein. |

The AGENT shall refer to the OWNER’s pricing strategy for retailing and wholesale in the said region.
The AGENT can offer a reduction of up to 15% off the OWNER’s recommended wholesale or retail prices for
the said region. |

The AGENT shall only use product images provided by the OWNER for any online / mail order business or any advertising purposes related to PrettyPet Brand or products. |
|
The AGENT shall NOT be permitted to sell in any form of media, including Internet to any other areas or countries outside of this stated agreement. The AGENT is therefore liable for payment of any damages or loss of sales to the OWNER if the agreement is not fulfilled. |

Without authorization from the OWNER, the AGENT shall NOT use PrettyPet trade mark for any business
or personal purposes. |
